CODE OF ETHICS AND PROFESSIONAL CONDUCT
BONGO BHUMI PROPERTY CONSULTANCY SERVICES (The "Company")

1. Introduction and Purpose
1.1. Commitment to Integrity: This Code of Ethics and Professional Conduct (the "Code") outlines the fundamental principles and standards of behavior expected of all Directors, employees, and agents ("Personnel") of BONGO BHUMI PROPERTY CONSULTANCY SERVICES. Our commitment is to uphold the highest standards of honesty, fairness, and professional integrity in all business operations related to Consultancy, Land Arranging, Real Estate, and Development Services.
1.2. Governing Principle: All Personnel must comply with this Code, the Company’s Terms and Conditions, all other Company policies, and the laws and regulations of the Republic of India.
2. Standards of Professional Behavior
2.1. Honesty and Trustworthiness:
(a) Personnel must be truthful and transparent in all communications with clients, partners, suppliers, and government authorities.
(b) Personnel shall never knowingly misrepresent the condition of a property, the status of a land title, or the feasibility of a project.
2.2. Competence and Diligence:
(a) Services shall only be provided in areas where the Personnel possesses the requisite knowledge, skill, and experience.
(b) All advice, reports, and recommendations must be prepared with due professional care and diligence, based on factual information and sound professional judgment.
2.3. Fair Dealing:
(a) Personnel shall not take unfair advantage of anyone through manipulation, concealment, abuse of privileged information, or any other illegal or unethical practice.
(b) All fees, commissions, and charges must be clearly disclosed to the Client in advance.
3. Conflicts of Interest and Confidentiality
3.1. Avoidance of Conflict: Personnel must avoid any actual or apparent conflict between their personal interests and the interests of the Client or the Company.
(a) If a potential conflict arises (e.g., a Personnel has a financial interest in a property being recommended), this conflict must be immediately disclosed in writing to the Client and to the Company management.
(b) The Client’s interest must always be prioritized unless legal or ethical obligations prevent it.
3.2. Confidentiality: Personnel must maintain the confidentiality of all non-public, sensitive, or proprietary information obtained during the course of their engagement, including Client financial data, project plans, and transaction terms. This obligation continues even after the termination of the Service.
4. Compliance with Law and Regulations
4.1. Legal Compliance: The Company and its Personnel shall strictly comply with all applicable local, state, and central laws, rules, and regulations of the Republic of India, including those pertaining to land use, zoning, real estate licensing, taxation, and anti-corruption (e.g., the Prevention of Money Laundering Act, 2002).
4.2. Anti-Corruption and Bribery: Personnel are strictly prohibited from offering, giving, soliciting, or receiving any bribes, kickbacks, or improper payments to or from any person, government official, or entity for the purpose of securing business or gaining improper advantage.
5. Reporting Violations and Enforcement
5.1. Reporting Obligation: Any Personnel who becomes aware of a suspected violation of this Code, Company policy, or applicable laws has an affirmative obligation to report the matter promptly to the Company management or designated ethics officer.
5.2. Enforcement: The Company will investigate all reported violations thoroughly and confidentially. Violations of this Code may result in disciplinary action, up to and including immediate termination of employment or engagement, and may also be reported to the appropriate legal authorities.
